Duties and Responsibilities

Eclosia Secretarial Services Ltd is seeking an Assistant Company Secretary to support compliance, corporate records, board administration, and regulatory liaison in a dynamic professional environment.

  • Ensuring compliance with legislation and the Code of Corporate Governance.
  • Maintaining proper statutory registers and carrying out statutory filings with the Registrar of Companies and other regulatory bodies.
  • Organising board and committee meetings, attending such meetings, and preparing minutes and the respective resolutions under the supervision of senior Company Secretaries.
  • Liaising with the Registrar of Companies, the Stock Exchange of Mauritius, banks, and other regulatory bodies.
  • Liaising with shareholders and preparing Annual Reports and other correspondence to shareholders under the supervision of senior Company Secretaries.
  • Ensuring compliance with the AML/CFT framework.
  • Performing any other relevant statutory and administrative duties inherent to the corporate secretarial field.

Profile

  • Minimum of three years’ experience in the company secretarial field.
  • Knowledge of the industry.
  • Holder of an LLB (Hons) or Law and Management qualification would be an advantage.
  • ICSA/ICG graduate or currently studying towards an ICSA/ICG qualification.
  • Attention to details.
  • Strong oral and written communication skills (English and especially French).
  • Accurate and timely drafting of minutes.
  • Good team spirit.
  • Adaptability and ease with technology.
