We are seeking a highly motivated and experienced Company Secretary to join our team. The ideal candidate will possess strong technical expertise in corporate governance, regulatory compliance, and company secretarial practices, with the ability to thrive in a dynamic and fast-evolving business environment.
Responsibilities
- Convening board, committee, and annual general meetings and preparing board documents.
- Attending board, committee, and annual general meetings and advising the board and its committees on governance matters.
- Drafting board minutes, resolutions, governance documents, annual and integrated reports in line with the National Code of Corporate Governance and the Companies Act.
- Proceeding with statutory changes relating to companies and filings with the Registrar of Companies and other regulatory bodies.
- Ensuring compliance with corporate legislations and AML/CFT requirements.
- Liaising with the Registrar of Companies, the Stock Exchange of Mauritius, banks, and other regulatory bodies.
- Dealing with the Share Registrar of the Eclosia Group’s listed companies.
Profile
Profile
- Minimum 5 years’ experience in company secretarial and compliance functions.
- Qualified Governance Professional (Associate of the Chartered Governance Institute).
- An ACCA qualification and/or an LLB degree would be considered an advantage.
- Proven experience supporting the secretariat of public listed companies and public interest entities.
- Excellent command of both English and French.
- Outstanding French drafting and writing skills are essential.
